Downgrading a license to free edition

I have a situation where two companies are separating and one company owns the Kentico licenses. So I need to downgrade one website to the free version. I'm looking for the best way to make this transition. Is it possible to switch the license to the free license and then deal with the specific issues that arise from the license limitations? Or would it be better to try and migrate the site to a new installation?

The site in question is currently running EMS version 7.0.84. The company involved does not have the funds to purchase a license at this time, although I will present that as one of the options.

Any thoughts on this would be greatly appreciated.

The website will run as it is under the current license. If the one company who owns the license doesn't want them to part with the license as it is then you may have an issue. But until then I'd say leave them on the EMS license and if they want to upgrade to a new version, they will have to either purchase a license or remove the features they are using.

Another option is to create an instance with the same version and hotfix. Export the site from where it is, ensuring you don't have all the EMS features and objects checked. Then import it into the new instance, again ensuring you don't have any EMS features selected. If you do run across issues with EMS features, run the import and if it fails, run the export and exclude those items. It may take a few tries, but this would be the simplest way to get up and running pretty quick.

The company that owns the license cannot give the license to the other company. That is why I have to migrate to the free version.

So you think it would be easier to create a new instance and import the site as opposed to replacing the license and removing the features?

What is the current setup of the sites? Do they have one installation with multiple sites for both companies?

Importing into a new installation with only the free license will indeed quickly give you an overview what isn't supported.
